TO: The policyholders of Carleton Mutual Insurance Company (the “Company”) TAKE NOTICE THAT, pursuant to the provisions of the Companies Act (New Brunswick), a special general meeting of the policyholders of the Company will be held at the Faith
Memorial Hall
, 175 Burnham Road, Florenceville-Bristol, N.B. on November 14, 2017 beginning at 6:00 p.m.

The sole purpose of the meeting is to consider and, if deemed advisable, authorize and approve the adoption of an Amalgamation Agreement dated September 18, 2017 made between the Company and Fundy Mutual Insurance Company whereby they will be amalgamated and continued as Carleton-Fundy Mutual Insurance Company, effective January 1, 2018,
upon the terms and conditions set out in the Amalgamation Agreement, the same having been approved by the Superintendent of Insurance pursuant to the Insurance Act (New Brunswick) on October 17, 2017.

A copy of the Amalgamation Agreement and a statement describing the nature and terms of the amalgamation are available at the head office.

Each policyholder in good standing and present at the meeting has one vote. No policyholder may vote by proxy but a policyholder that is a corporation or partnership may vote by an officer or member thereof authorized in writing to represent it.
